“低基数、高系数”还是“高基数、低系数”，薪酬的制定越来越像一笔讨价还价的生意。俗话说，买的没卖的精。自己得了便宜，还算着卖的人能赚多少钱，是生意场上的大忌。
一年一度折磨神经的年底考核终于结束了。而对于马先生来说，明年薪酬方案的制定才是下一场战争的开始。
高管在和股东确定公司预期利润和高管报酬的时候，大家通常会为了自己的利益采取不同的策略。
站在“打工仔”角度的马先生，自然希望股东给出一个“低利润基数、高奖励系数”的薪酬补偿方案。原因就在于，这一方案能有效规避市场不确定性给其所带来的风险。
但是，股东也不是傻子，不会让你在公司悠悠然地白拿钱。股东也会从自己的角度出发争取最大利益，他们更偏好于“高基数、低系数”。
当双方进行讨价还价的时候，代理方会将“压低基数”作为谈判策略，从而来抬高系数。如此一来，双方最终博弈的结果很可能就流向了“低基数、低系数”这一“双输”结果——本来应该是“低基数、高系数”，现在却变成了“低基数、低系数”的激励不足合同;并且由于激励不足，很有可能会导致高管在法律和道德风险面前的边际成本大大升高。
于是马先生代表高管团队和董事会开始讨价还价。
股东开出一个30亿元的利润基数和20%的超额奖励系数。马先生肯定不会接受这一方案，30亿这么高的利润基数，完不完得成的确是个大问题。况且，即使拼死拼活完成了31亿，那么整个高管团队也只能拿到2000万的奖励。一群人冒着丢小命的风险去抓一头大金牛，而我只能从牛身上胡乱抓了一把毛。这把毛还得给手下的小弟分了，剩下的才能装进自己的口袋。资本家还真是不一般的抠门。
心里虽然这么想，但马先生肯定不会这么说。他先列举出一大堆公司面临的经营困难，他和他的团队怎样怎样不容易，市场的开拓多么多么困难，竞争对手究竟有如何如何强大。很显然，马先生的口才非常不错。虽然没把股东们说得一把鼻涕、一把泪，但也让股东们有了些许恻隐之心。见股东们在那里沉默不言，马先生就乘胜追击，使了一招“声东击西”之计：“而且，你们给出了一个20%的超额奖励系数，也忒低了点。我们的心理价位至少要在70%以上”，“我们拼死拼活地干了一年，你们又把基数定得那么高，还让我们这些打工的怎么活啊。大家不如互相退一步，折中50%吧!这样，大家都能接受”。不过，他心里还是希望股东能把利润基数压得低一点。毕竟，此时的市场有很大的风险，经营必须谨慎。更何况，去年那么辛苦也才盈利了20亿。今年全国各地都还在闹通货膨胀，不降反升，定了30亿这么高的基数，就是神仙也不一定能够完成如此大的利润飞跃。最后，经过一番激烈地讨价还价，双方以25亿基数、50%系数成交。
有了这一目标，脚下的路自然宽敞了很多。这一年，老马和他的高管团队使出浑身解数，大干特干，公司的盈利从去年的20亿飞跃到了40亿。一到年底分钱的时候，老马掩盖不住心中的喜悦之情。如果按50%的奖励系数来算，他的高管团队去年净挣7.5亿大洋。作为带头大哥，老马自己也能分上6000万(再分多了，今年的公司年报该怎么交待啊)。再加上基本工资，马先生以6600万的天价年薪一度登上了今年《富不施》的“第一打工皇帝”位置。
于是，股东见了老马说：“老马你也太不厚道了，把利润基数压得那么低，系数提得那么高，从我们手里拿走了那么多钱。”老马辩驳道：“我怎么知道今年的收成这么好啊!人们亲自跑到公司来买保险，闲置资金投资股票，一天一个涨停板，钱想不赚都难。再说，一开始我们不是都已商量好了‘25亿基数、50%系数’的吗?这是你情我愿的事情。到现在，您可不能怪我，怎么说我也是累死累活地干了一年，总得赚点孩子的买奶粉钱，给老婆买化妆品的钱吧!不然，你还是把我解雇，另请高明，看他能不能给你一年挣40亿利润，利润翻一番。”股东们吃了个哑巴亏，打掉牙也只能往肚子里咽。
过完年回来，老马的心情不错，想故伎重演。不过，一向聪明的老马也知道，股东们也不是冤大头。上次的招数肯定不管用了，这次要换新招。谈判桌上，大股东李先生马上迫不及待地说话了：“老马，今年你可不能像去年的那样，拼命地把基数往下压，结果搞得我们就没几个子了。”老马就接过话茬说：“去年盈利了40亿，今年金融危机更加厉害了，我们今年利润完全不可能做到去年那样了。我看这样吧!定35亿的利润基数，我们经理层今年要比去年干劲还旺，尽力赶超自我。如果没有做到35亿，我甘愿带头拿合同里规定的月薪1万元的固定工资。当然，利润基数对我们来说难度这么大，所以我希望公司能给一个70%的奖励系数，这会给我们一个很好的激励，鼓励我们努力工作。”
其实，老马在心里早已打好算盘：去年刚上了几个项目，还没开始盈利，今年估计下半年这几个新项目就能给公司赚十几个亿。今年即使保险卖得再怎么不好，创个35亿的利润，应该没问题的。再不行，账面上平滑一下收益，年报数据上再做下文章，肯定能搞定了。定70个点的奖励系数，到年底我怎么也能拿个5000万。没想到两年之后，自己也成了亿万富翁，真是运气棒!
梦还没做完，张股东就发话了：“老马，你的努力在大家眼中是有目共睹的。你是经营公司的专家。公司明年到底能赚多少钱，你最有数。我看还是这样吧!定35亿也好，50亿也好，由你自己来定利润基数，我们会在你定的基数上给你一个10%的让步。比如说，你认为明年能盈利30亿，让步10%那我们就把基数定在27亿。如果明年超过了27亿，做到了30亿，超出的3亿我们就作为奖励100%的给你和你的团队。这应该是对你们的莫大鼓励吧!但是，如果你今年报了30亿，结果年底做到了40亿，那我们也要对你少报部分按照95%的比例进行罚款。比如，你报了30亿，结果盈利40亿，我们就罚掉9.5亿。那么你得到的就是达标27后3亿纯利的奖励，再加上多出10亿的0.5%，总共3.5亿的利润。”张股东推了推老花镜，故弄玄虚，接着往下说，“这样，你既不会激励不足，也不会欺骗我们。报多少，你自己看着办。我们还是那句老话，你是公司掌舵人，你最清楚明天能盈利多少。”老马回去合计了一番，明年撑死了也只能赚50亿而已。如果我报50亿，才拿5亿。如果报个20亿，我才拿3.5亿，比报50亿拿得还少。索性多报点，我报70亿，再利用这一方法合计一下，那一分钱也拿不到。股东们怎么一下子学精了呢?看来今年只能报50亿了，自己拿五、六千万的好日子就这么过去了。
一打听，这才知道这些股东今年请了一位有名的经济学家X教授来做他们的私人顾问，制定了一套新的薪酬奖励机制。他的想法是通过引入一个“少报受罚”的机制，这就可以成功诱导老马报出公司的实际利润基数。
很显然，这一方法让爱玩道德风险游戏的高管无法继续玩那些小伎俩，解决了委托代理过程中的逆向选择和道德风险问题。定的基调就是，你赚再多，作为股东也只能分给你全部利润的10%，至于其他的，您就别买的人还惦记卖的人赚多少钱了。如果你盘算于账面游戏中不再卖力，那么对不起，你已经不是个合格的职业经理人了 .
